These Terms and Conditions (hereinafter, "Terms") govern your access to and use of the trobare.com website and the services associated with the Trobare brand (hereinafter, the "Service"), owned by NEWEN VENTURES, S.L. ("Newen Ventures"), Spanish tax ID B25925108 and registered office at Travessera de Gràcia 283, 08025 Barcelona, Spain.

By creating an account, purchasing a subscription or using the Service, you accept these Terms in full. If you do not agree, you must not use the Service.

These Terms, together with the Legal Notice, the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Newen Ventures.

1. Description of the Service Trobare is a digital platform that offers curated guides to restaurants, shops and local establishments in different cities and regions. Content is selected and written by Newen Ventures or its editorial contributors.

The Service has two access levels:

Free access (Freemium): allows you to consult a limited portion of the guides without a subscription. Paid subscriptions: unlock the full content of one or more regions, countries, or the full global guide, depending on the plan purchased. Newen Ventures may modify, expand, limit or discontinue features of the Service at any time, notifying users when the changes are material.

2. Account registration To purchase a subscription or access personalised features, you must create an account. You may sign up with email and password or via your Google account.

By registering, you declare that:

You are at least 16 years old. The information you provide is accurate and up to date. You will keep your credentials confidential and will be responsible for any activity carried out from your account. You must notify us immediately at info@trobare.com if you detect unauthorised use of your account.

3. Subscription plans Trobare offers different paid subscription plans, all billed monthly:

Regional subscription: unlocks the full content of a specific region or city (e.g. Barcelona, Madrid, Tokyo). Country subscription: unlocks the full content of all the regions and cities available within a country (e.g. Spain, Japan). Global subscription: unlocks the full content of all countries and regions available, including those added during the subscription period. You may hold several active subscriptions simultaneously provided they do not overlap. In particular:

You may combine several regional subscriptions for different regions (e.g. Barcelona + Madrid + Tokyo). You may combine regional and country subscriptions across different countries (e.g. Spain + Tokyo; Spain + Japan). You cannot purchase a regional subscription when you already have the country subscription that covers it, nor any other subscription when you already have the global subscription: in that case you already have full access to the content, and the system will inform you. If you purchase a country subscription, all active regional subscriptions for the same country are automatically cancelled. If you purchase the global subscription, all active subscriptions are cancelled. Current prices, applicable taxes and currency are clearly displayed at the time of purchase. Prices may vary depending on the currency selected.

4. Purchase and payment Purchases are processed entirely through the Website using the payment provider Stripe. Newen Ventures does not store bank card data.

The purchase process includes:

Plan selection. Express acceptance of these Terms and Conditions. Express request for immediate access to the content and waiver of the right of withdrawal (see clause 9). Entry of payment details in Stripe. Confirmation of payment and immediate activation of the Service. After confirmation, you will receive the corresponding invoice by email. You can access the invoice history at any time from the Stripe Customer Portal, available from your account.

5. Automatic renewal All subscriptions renew automatically every month for the same amount and conditions, unless you cancel before the renewal date. The charge is made on the equivalent date each month (e.g. if you subscribed on the 15th, it will renew on the 15th of the following month).

If your payment method fails on the renewal date, Stripe will automatically retry the charge over the following days and your subscription will be marked as "Past due". We will notify you by email and you can update your payment method from your account. If the charge is not completed within 15 days, the subscription will be cancelled automatically.

We will notify you by email at least 30 days in advance of any material change to the price of your subscription. If you do not accept the new price, you may cancel before it takes effect.

6. Purchasing new plans and changes You may purchase new plans at any time from the Website. Depending on the subscriptions you already have active:

New plan that does not overlap with existing ones (for example, you have Barcelona and you purchase Tokyo, or you have Madrid and you purchase Tokyo). The charge is immediate for the full amount of the new plan. Your previous subscriptions remain unchanged.

New plan that covers existing subscriptions (for example, you have Barcelona and/or Madrid and purchase Spain; or you have several subscriptions and purchase Global). At that point:

The new plan is activated. The covered subscriptions are cancelled automatically. The proportional amount for days already paid and not consumed on the cancelled subscriptions is deducted from the charge for the new plan. If the discount would exceed the price of the new plan, the surplus is kept as credit in your Stripe account and is automatically applied to subsequent invoices until it is used up. No cash refunds are issued for voluntary changes. New plan already covered by an active subscription (for example, you have Spain and try to purchase Barcelona, or you have Global and try to purchase any other plan). The system will block the purchase and inform you that you already have access.

Change to a lower-cost plan (downgrade). If you wish to move from the global subscription or a country subscription to a smaller regional or country subscription, you must cancel the current subscription from your account (you will retain access until the end of the current cycle) and purchase the new one when you wish. No automatic change with partial refund is offered for moves to lower-cost plans.

7. Cancellation You may cancel any of your subscriptions at any time from your account or from the Stripe Customer Portal. Cancellation:

Takes effect at the end of the current monthly cycle. You will retain access to the content of that subscription until that date. Does not generate a refund of amounts already paid, except in the cases set out in clause 9 (withdrawal) or in the event of breach attributable to Newen Ventures. If you have several active subscriptions, you can cancel each one separately. After the end date of your last subscription, the account remains active in Free (Freemium) mode. You may also request the full closure of your account by writing to info@trobare.com. Subscriptions active at that moment will remain in force until the end of the cycle unless you expressly request their cancellation.

8. Refunds Trobare does not offer discretionary refunds on monthly instalments already invoiced. Refunds will only be processed in the following cases:

Valid exercise of the right of withdrawal (clause 9). Technical failures attributable to Newen Ventures that prevent substantial use of the Service for a prolonged period. Duplicate charges or billing errors. When required by applicable consumer protection legislation. Refund requests must be sent to info@trobare.com with details of the incident. We will reply within a maximum of 14 calendar days.

9. Right of withdrawal Pursuant to Article 102 of Royal Legislative Decree 1/2007 (TRLGDCU), you have a period of 14 calendar days from the date of purchase to withdraw from the contract without justification.

However, pursuant to Article 103.m of the same legal text and Article 16.m of Directive 2011/83/EU, you lose the right of withdrawal when you expressly request immediate access to the digital content before the end of the 14-day period and acknowledge that, by doing so, you waive said right.

When subscribing to Trobare, you tick an explicit checkbox during the payment process by which:

You request to receive immediate access to the subscription content. You acknowledge that, by obtaining such immediate access, you lose the right of withdrawal. The date and time of that confirmation is recorded in our systems as evidence of consent.

If you did not tick that checkbox (due to a system error or other reason) and wish to exercise the right of withdrawal within 14 days of purchase, you may do so by writing to info@trobare.com indicating your name, the email associated with the account and the subscription number. In that case, we will refund the full amount within a maximum of 14 days from the receipt of the request.

10. User obligations You undertake to:

Use the Service in accordance with the law, morality and good customs. Not share your credentials nor allow third parties to access your account. Not use bots, scrapers, crawlers or any automated method to access, extract or reproduce content from the Website. Not resell, redistribute or publish content obtained through your subscription. Not breach the security or integrity of the Service. 11. User-generated personal content The Service may allow you to add personal notes, comments or reviews linked to your account. This content is private, visible only to you, and is not published or shared with other users.

You are responsible for the information you enter. If such content is unlawful or infringes third-party rights, Newen Ventures may remove it.

12. Suspension and termination of account Newen Ventures may suspend or terminate your account, with or without prior notice depending on the severity, in the following cases:

Serious or repeated breach of these Terms. Fraudulent use of the Service or of payment methods. Unauthorised automated activity (bots, scrapers). Attempts to breach the security or integrity of the Website. Legal requirement from a competent authority. In the event of suspension due to confirmed fraud or serious infringement, no refund of amounts already paid shall be due.

13. Intellectual property All content of the Service (texts, editorial reviews, curated selections, databases, graphic design, software, logos and the Trobare brand) is the property of Newen Ventures or its licensors and is protected by intellectual and industrial property law.

The subscription grants you only a personal, non-transferable, non-exclusive and revocable right of access to and use of the content included in your plan, limited to personal and non-commercial use.

The reproduction, distribution, public communication, transformation or systematic extraction of the content without express written authorisation from Newen Ventures is expressly prohibited.

Certain elements of the Website (photographs of establishments, place data obtained from Google Places, maps from Mapbox) belong to third parties and are displayed with the corresponding attribution.

14. Service availability Newen Ventures makes its best efforts to keep the Service continuously available, but does not guarantee uninterrupted operation. Interruptions may occur due to scheduled maintenance, technical incidents or force majeure.

Newen Ventures shall not be liable for brief interruptions or isolated technical incidents. In the event of prolonged unavailability attributable to Newen Ventures, clause 8 (refunds) shall apply.

15. Accuracy of editorial content Newen Ventures makes its best efforts to keep editorial content up to date and accurate. However, it does not guarantee the accuracy of information concerning third parties (opening hours, prices, availability, changes of ownership, closure of establishments). Before visiting an establishment, verify the relevant information directly with them.

16. Limitation of liability To the fullest extent permitted by applicable law, Newen Ventures shall not be liable for:

Indirect damages, loss of profits or loss of opportunities arising from the use of the Service. Decisions made by the user based on editorial content. The quality, service or experience at the establishments included in the guides. Acts or omissions of third-party providers (Stripe, Google, Mapbox, etc.). This limitation does not affect the non-waivable rights to which you are entitled as a consumer under applicable law, nor liability for wilful misconduct or gross negligence of Newen Ventures.

17. Modifications to the Terms Newen Ventures may modify these Terms to adapt them to legislative, technical or Service changes. The modifications will be published on the Website with the date of last update indicated at the beginning.

When the changes are material and affect users with an active subscription, we will notify you by email at least 30 days in advance. You may cancel your subscription without penalty if you do not accept the new Terms.

18. Data protection The processing of your personal data is governed by the Privacy Policy and the Cookie Policy, accessible from the footer of the Website.

19. Applicable law and dispute resolution These Terms are governed by Spanish law.

When acting as a consumer, you may bring proceedings before the courts of your place of residence pursuant to Regulation (EU) No 1215/2012, and use the European online dispute resolution platform available at https://ec.europa.eu/consumers/odr.

In cases not covered by consumer legislation, the parties submit to the Courts and Tribunals of Barcelona, with express waiver of any other jurisdiction.
